The features, timelines, and deliverables for each client project will be defined in a separate agreement, proposal, or service-level document (SLA).

2. User Responsibilities

You agree to:

  • Provide accurate information required for account creation, onboarding, or project execution.

  • Supply necessary assets, credentials, or access to systems when required for service delivery.

  • Use our Services only for lawful purposes and in compliance with all applicable regulations.

  • Maintain the confidentiality of your login credentials and system access details.

  • Ensure that all data, content, and instructions you provide do not infringe on intellectual property rights or violate security policies.

Failure to meet these responsibilities may impact project timelines or support response times.

3. Project Deliverables & Revisions

  • All project milestones, delivery dates, and revision limits will be outlined in the service agreement.

  • Revisions beyond what is included in the agreed project scope may incur additional fees.

  • You are responsible for reviewing deliverables promptly; delays in feedback may affect timelines.

4. Intellectual Property Rights

Your Rights

  • You retain ownership of all materials, assets, and data you provide.

Our Rights

  • Unless otherwise agreed in writing, we retain ownership of development frameworks, proprietary tools, code libraries, methodologies, and internal systems used to deliver your project.

  • License rights to custom-built software will be defined in your project agreement (e.g., full ownership, partial ownership, or licensing).

You may not modify, distribute, or reuse any proprietary components without written permission.

5. Data Usage & Privacy

We may collect and process technical information related to project execution, such as:

  • Application logs

  • Performance metrics

  • Diagnostic data

  • Integrations and system configuration details

Personal data is handled according to our Technology Privacy Policy, which explains how we collect, store, and protect user and client information.

6. Security & System Access

  • You agree not to attempt to bypass, disable, or interfere with security features used in our systems or platforms.

  • Any credentials or access provided for system configuration or project execution must be legitimate and authorized.

  • We are not responsible for security breaches caused by weak passwords, misconfigured third-party systems, or unauthorized access outside our control.

7. Third-Party Tools & Integrations

Many of our services rely on third-party tools, APIs, or platforms (e.g., cloud providers, payment processors, analytics tools).

  • We are not responsible for downtime, limitations, or issues caused by third-party platforms.

  • Licensing or subscription costs for third-party services may be passed directly to the client if required for project execution.

8. Payment Terms

  • Pricing, payment schedules, and billing terms will be outlined in your project proposal or invoice.

  • Late payments may lead to paused services, delayed delivery, or additional fees.

  • For ongoing services (e.g., hosting, maintenance, SaaS subscriptions), recurring billing applies unless otherwise stated.

9. Service Availability & Support

We aim to maintain consistent service availability; however:

  • Scheduled maintenance, emergencies, or third-party outages may interrupt service.

  • Support response times will follow the guidelines outlined in your SLA or project agreement.

  • We are not responsible for issues arising from user-side hardware, internet connectivity, or unmanaged environments.

10. Limitations of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages.

  • We do not guarantee that software or digital systems will be error-free, uninterrupted, or fully secure.

  • Our total liability for any claim will not exceed the total amount paid for the specific service being disputed.

11. Termination

We may suspend or terminate Services if:

  • You violate these Terms or applicable laws.

  • You misuse systems, platforms, or APIs.

  • Payment obligations are not met.

Upon termination:

  • You must cease using all deliverables and licensed materials unless ownership rights were transferred.

  • All outstanding invoices become immediately due.

12. Updates to These Terms

We may update these Terms periodically. Changes will take effect immediately upon posting. Continued use of our Services signifies acceptance of the updated Terms.
